Service Agreement

1. Overview

This Software as a Service Agreement ("Agreement") is entered into between DealerPro Logic ("Company") and the subscribing business ("Customer"). DealerPro Logic develops and operates a suite of purpose-built software products for automotive dealerships, independent repair shops, and fleet companies, including but not limited to FindMy10mm, ChequeReq, and other products offered under the DealerPro Logic brand (each, a "Software" or collectively, the "Software Products"). This Agreement governs Customer's use of any DealerPro Logic Software Product, unless a specific product is otherwise governed by its own supplemental terms.

2. Subscription Terms

Access to each Software Product is provided on an annual subscription basis, unless otherwise specified for a particular product.

Pricing is customized based on each dealership's number of locations, users, and feature requirements.

Payment is required in full prior to activation of services and must be made payable to DealerPro Logic.

All payments are non-refundable once the subscription term has begun. No cancellations or partial refunds are available during the active subscription period.

3. License Grant

DealerPro Logic grants Customer a limited, non-exclusive, non-transferable license to use the subscribed Software Product(s) for internal business purposes only.

Customer may not:

  • resell or sublicense the software
  • copy, modify, or reverse engineer the software
  • allow access to unauthorized users
  • attempt to interfere with system security or performance

4. Customer Responsibilities

Customer agrees to:

  • maintain the confidentiality of login credentials
  • ensure all users comply with this Agreement
  • add and maintain accurate and complete data required for the applicable Software Product to function as intended
  • provide accurate business information required for account setup
  • use the software only for lawful business purposes

5. Data & Privacy

DealerPro Logic Software Products are designed to minimize the collection of customer personal data. Where a specific Software Product collects, stores, or processes additional data beyond minimal account information (for example, information required to operate that product), the nature of that data is described in the Privacy Policy below and/or in supplemental product-specific terms.

DealerPro Logic does not collect or store dealership data that is not already publicly available or voluntarily provided by Customer for the purpose of operating the subscribed Software Product.

DealerPro Logic only stores information necessary to provide login access and operate the applicable Software Product(s).

DealerPro Logic does not sell or share customer information with third parties.

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or operational information shared during the course of using a DealerPro Logic Software Product.

Confidential information shall not be disclosed to any third party without written consent, except where required by law.

This obligation continues even after termination of the agreement.

7. Service Scope

Subscription includes:

  • access to the subscribed Software Product(s)
  • software updates and feature improvements
  • bug fixes
  • standard technical support

Subscription does not include:

  • custom software development
  • custom integrations
  • consulting services
  • on-site services
  • data entry services
  • third-party software costs
  • hardware or physical products

Additional services may be quoted separately.

8. Support

Standard support is available Monday to Friday during normal business hours.

DealerPro Logic aims to respond to support inquiries within approximately 4 business hours during business hours. Response times are not guaranteed.

9. Service Availability

DealerPro Logic aims to maintain approximately 99% uptime across its Software Products. However, uninterrupted service is not guaranteed.

Temporary downtime may occur due to scheduled maintenance, system upgrades, technical issues, third-party service interruptions, or events outside of our control.

DealerPro Logic is not liable for any losses resulting from downtime.

10. Pricing Changes

DealerPro Logic reserves the right to modify pricing upon renewal of the subscription term.

Customers will be notified of any price changes prior to the start of the next billing period.

11. Intellectual Property

Each Software Product, and all related software, features, and materials, are the intellectual property of DealerPro Logic.

Customer retains ownership of any information they input into the software.

12. Limitation of Liability

DealerPro Logic shall not be liable for any indirect, incidental, or consequential damages including loss of revenue, profits, or business interruption.

Maximum liability shall not exceed the total amount paid by Customer for the current annual subscription term of the applicable Software Product.

13. Termination

Access to the software will continue until the end of the paid subscription period.

DealerPro Logic reserves the right to suspend or terminate access if Customer violates this Agreement.

14. Governing Law

This Agreement shall be governed by the laws of the Province of Manitoba, Canada.

15. Acceptance

By using a DealerPro Logic Software Product and paying an invoice issued by DealerPro Logic, Customer agrees to the terms outlined in this Agreement.

Privacy Policy

DealerPro Logic ("Company", "we", "our", or "us") develops and operates a suite of software products for automotive dealerships, independent repair shops, and fleet companies.

We are committed to protecting privacy and minimizing data collection wherever possible.

Information We Collect

DealerPro Logic Software Products are designed to minimize the collection of customer personal data.

We do not request or store customer names, addresses, vehicle information, payment details, or repair records, except where a specific Software Product requires such information to operate as intended and Customer voluntarily provides it.

We only collect minimal information necessary to provide access to the software, which may include:

  • business name
  • user name
  • email address
  • login credentials
  • basic account configuration information

Dealership Data

DealerPro Logic does not collect or store dealership data that is not already publicly available or voluntarily entered by Customer for the purpose of operating the subscribed Software Product.

Users are responsible for determining what internal operational information they choose to enter into the system.

Automatically Collected Technical Information

Like most websites, limited technical information may be automatically collected by hosting providers or analytics tools, such as:

  • IP address
  • browser type
  • device type
  • date and time of access
  • general usage metrics

This information is used only for:

  • system security
  • performance monitoring
  • troubleshooting
  • improving software functionality

How Information Is Used

Information collected is used solely to:

  • provide access to the software
  • maintain system performance
  • communicate service updates
  • respond to support requests

We do not sell, rent, or share information with third parties for marketing purposes.

Data Security

DealerPro Logic uses commercially reasonable safeguards to protect account information from unauthorized access.

However, no system can guarantee absolute security.

Third Party Services

DealerPro Logic Software Products may rely on third-party hosting providers or infrastructure services required to operate the software platform.

These providers may process limited technical information necessary to deliver the service.

Changes to This Policy

DealerPro Logic may update this Privacy Policy from time to time.

Updates will be posted on this page with a revised effective date.

Software Disclaimer

DealerPro Logic Software Products are provided as organizational and workflow support tools only.

DealerPro Logic does not guarantee accuracy, completeness, or suitability of any Software Product for any specific operational, mechanical, or business purpose.

Users are responsible for verifying all information and processes within their own organization.

DealerPro Logic shall not be responsible for:

  • misplaced tools or assets
  • workflow interruptions
  • operational decisions
  • business losses
  • indirect damages
  • reliance on system output

Use of any Software Product is at the customer's own discretion and risk.

Software features and functionality may evolve over time.

Acceptable Use Policy

AUP

By using a DealerPro Logic Software Product, Customer agrees not to misuse the software or attempt to interfere with its normal operation.

Users may not:

  • copy, modify, or attempt to reverse engineer the software
  • attempt to gain unauthorized access to the system
  • share login credentials outside their organization
  • allow multiple businesses to use a single subscription
  • use the software for unlawful purposes
  • attempt to disrupt system performance
  • introduce malicious code, viruses, or harmful scripts
  • attempt to scrape, extract, or duplicate software functionality
  • misrepresent identity or business affiliation
  • use the software in any manner that could harm DealerPro Logic or other users

DealerPro Logic reserves the right to suspend or terminate access if misuse is detected.
